1. Definitions

In these Terms and Conditions:

  • "Clarity Partners," "we," "our," or "us" refers to Clarity Partners, a business consulting firm registered in Malaysia.
  • "Services" refers to the consulting services we provide, including but not limited to Strategic Clarity Workshops, Cost Structure Analysis, and Advisory Board Formation.
  • "Client," "you," or "your" refers to any individual or organisation engaging our services or using our website.
  • "Agreement" refers to these Terms and Conditions together with any engagement letter or proposal.
  • "Content" refers to all text, images, data, and other materials on our website.

2. Acceptance of Terms

By accessing our website or engaging our services, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our website or services.

You must be at least 18 years old and have the legal capacity to enter into binding agreements to use our services.

3. Service Description

Clarity Partners provides business consulting services to organisations in Malaysia and the surrounding region. Our services include:

  • Strategic Clarity Workshop: Facilitated sessions to help leadership teams establish strategic direction
  • Cost Structure Analysis: Examination of organisational cost bases to identify optimisation opportunities
  • Advisory Board Formation: Guidance for establishing or restructuring advisory boards

Specific services, deliverables, timelines, and fees will be detailed in individual engagement proposals or letters.

4. Engagement Process

Our typical engagement process involves:

  1. Initial discussion to understand your needs
  2. Proposal outlining scope, approach, timeline, and fees
  3. Acceptance of proposal and any required deposits
  4. Execution of engagement activities
  5. Delivery of agreed deliverables
  6. Final payment and engagement closure

5. Client Responsibilities

To enable us to provide effective services, you agree to:

  • Provide accurate and complete information relevant to the engagement
  • Make key personnel available for discussions and workshops as agreed
  • Provide timely feedback on deliverables
  • Pay fees according to the agreed schedule
  • Respect our intellectual property rights
  • Maintain confidentiality of our methodologies and proprietary approaches

6. Fees and Payment

Our standard service fees are:

  • Strategic Clarity Workshop: RM 5,900
  • Cost Structure Analysis: RM 4,700
  • Advisory Board Formation: RM 3,900

Custom engagements will be priced in individual proposals. All fees are quoted in Malaysian Ringgit (RM) and are subject to applicable taxes.

Payment terms will be specified in individual engagement proposals. Late payments may incur interest at the rate of 1.5% per month.

7. Intellectual Property

All content on our website, including text, graphics, logos, and methodologies, is the property of Clarity Partners and is protected by intellectual property laws.

You may not reproduce, distribute, or create derivative works from our content without our prior written consent.

Deliverables created specifically for your engagement become your property upon full payment, except for our underlying methodologies and frameworks which remain our intellectual property.

8. Confidentiality

We take confidentiality seriously. Both parties agree to:

  • Keep confidential all non-public information shared during the engagement
  • Use confidential information only for purposes related to the engagement
  • Not disclose confidential information to third parties without prior written consent
  • Return or destroy confidential information upon request or engagement completion

This confidentiality obligation survives the termination of our engagement.

9. Disclaimers

Our services are provided "as is" on a consultative basis. We make no warranties, express or implied, regarding:

  • Specific business outcomes or financial results
  • The suitability of our recommendations for your particular circumstances
  • The accuracy of information provided by third parties

Our advice is based on information available to us and represents our professional opinion. Implementation decisions remain your responsibility.

10. Limitation of Liability

To the maximum extent permitted by Malaysian law:

  • Our total liability for any claims arising from our services shall not exceed the fees paid for the specific engagement giving rise to the claim
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • We shall not be liable for losses arising from decisions made based on our advice

11. Indemnification

You agree to indemnify and hold harmless Clarity Partners, its directors, employees, and agents from any claims, damages, losses, or expenses arising from your breach of these Terms, your misuse of our services, or your violation of any laws or third-party rights.

12. Termination

Either party may terminate an engagement:

  • By mutual written agreement
  • For material breach not cured within 14 days of written notice
  • With 30 days written notice for convenience (subject to payment for work completed)

Upon termination, you shall pay for all services rendered up to the termination date.

13. Dispute Resolution

Any disputes arising from these Terms or our services shall be resolved as follows:

  1. Good faith negotiation between the parties
  2. If negotiation fails, mediation administered by the Malaysian Mediation Centre
  3. If mediation fails, arbitration under the rules of the Asian International Arbitration Centre in Kuala Lumpur

14. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of Malaysia. The courts of Malaysia shall have exclusive jurisdiction over any disputes.

15. General Provisions

  • Entire Agreement: These Terms, together with any engagement letter, constitute the entire agreement between the parties.
  • Severability: If any provision is found invalid, the remaining provisions shall continue in effect.
  • Waiver: Failure to enforce any provision shall not constitute a waiver of that provision.
  • Assignment: You may not assign your rights under these Terms without our written consent.
  • Force Majeure: Neither party shall be liable for delays caused by circumstances beyond reasonable control.

16. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated revision date. Continued use of our services after changes constitutes acceptance of the modified Terms.
